Privacy Policy

INTRODUCTION

Welcome to SpotEat, a digital platform owned and operated by Spotless Technologies Ltd (“SpotEat”, “the Platform”, “we”, “our”, or “us”). SpotEat connects Customers, Merchants, and Spotters (delivery partners) through an integrated online marketplace that facilitates ordering, payment, and delivery of meals and related goods. These End-User Terms of Use and Privacy Policy (“Terms”) govern your access to and use of the SpotEat platform, including its website, mobile application, and all related services (collectively, the “Services”). By accessing, registering, or using the Platform, you agree to be bound by these Terms, including any future updates or amendments as may be made at the sole discretion of Spotless Technologies Ltd. If you do not agree to these Terms, you must immediately discontinue access and use of the Platform.

ACCEPTANCE OF TERMS

2.1 Your continued use of SpotEat constitutes express acceptance of these Terms and any policies incorporated herein by reference, including the Privacy Policy. 

2.2 You acknowledge that SpotEat may, from time to time, revise, modify, or update these Terms to reflect changes in law, technology, or operational practices. Such updates shall be effective immediately upon posting within the App, and continued use of the Platform after such modifications constitutes acceptance of the revised Terms.

2.3 These Terms form a binding agreement between you and Spotless Technologies Ltd and supersede all prior discussions, understandings, or representations relating to the subject matter herein.

ELIGIBILITY

3.1 You must be at least 18 years old and possess full legal capacity to enter into binding contracts in Nigeria to use the SpotEat Platform.

3.2 SpotEat may request supporting identification or documentation where required by law.

3.3 By using the Platform, you represent and warrant that all information provided is accurate, complete, and current.

3.4 SpotEat reserves the right to verify user information and deny access to any user who provides false or misleading data or fails to meet eligibility requirements.

DEFINITIONS

For the purpose of this Agreement:

4.1 ”Customer” means a user who places orders for food or other goods through the SpotEat app.

4.2 “Merchant” refers to any restaurant, eatery, or business entity registered on SpotEat to sell food or goods.

4.3 “Spotter” means a registered delivery partner assigned to pick up and deliver orders on behalf of customers.

4.4 “In-App Payment” refers to the secure digital payment system integrated within the SpotEat platform for processing transactions.

4.5 “Order” refers to a confirmed purchase made by a customer through the app. 4.6 “Platform” collectively refers to the SpotEat mobile application, web portal, and all associated services provided by Spotless Technologies Ltd.

USE OF PLATFORM

5.1 Users agree to use the Platform only for lawful purposes and in compliance with these Terms.

5.2 User shall not:

5.2.1 Engage in fraudulent, abusive, or unlawful activity through the Platform,

5.2.2 Interfere with or disrupt the integrity, functionality, or performance of the Platform,

5.2.3 Attempt to access data not intended for you, or attempt to breach SpotEat’s security protocols,

5.2.4 Use automated systems, bots, or scripts to interact with the Platform.

5.3 SpotEat may suspend or restrict access where violations are detected or suspected.

ACCOUNT REGISTRATION AND SECURITY

6.1 To use SpotEat, users must register an account using valid personal and contact information.

6.2 Users are responsible for maintaining the confidentiality of login credentials and all activities that occur under their accounts.

6.3 SpotEat shall not be liable for any unauthorized access resulting from compromised login credentials.

6.4 You agree to promptly notify SpotEat of any unauthorized use, security breach, or suspicion thereof.

MERCHANTS

7.1 Merchants are independent vendors authorized to list and sell their food and goods on SpotEat.

7.2 Merchants must provide accurate product descriptions, ensure timely order preparation, and maintain sanitary standards in accordance with applicable food and safety laws.

7.3 Merchants shall not list counterfeit, expired, or prohibited products.

7.4 SpotEat reserves the right to delist, suspend, or terminate any Merchant found in breach of these Terms or regulatory obligations.

ORDERS, DELIVERY AND SPOTTERS

8.1 Order Placement: Users may place food orders through the SpotEat Platform by selecting desired menu items from listed restaurants. Upon submission of an order, SpotEat shall transmit the order details to the relevant restaurant partner (“Merchant”) for confirmation and preparation. The User acknowledges that submission of an order constitutes an offer to purchase, which shall be deemed accepted only when confirmed by the Merchant.

8.2 Order Confirmation: Once the Merchant accepts an order, SpotEat shall notify the User through the Platform, confirming order details, total cost, and estimated delivery time. SpotEat shall not be liable for any discrepancies or delays caused by incorrect order information provided by the User.

8.3 Role of Spotters (Delivery Partners): Delivery partners (“Spotters”) are independent contractors engaged by SpotEat to facilitate delivery of orders from Merchants to Users. Spotters are not employees, agents, or representatives of SpotEat, and SpotEat shall not be held liable for any acts, omissions, or misconduct of any Spotter.

8.4 Delivery Process: Upon collection of the order from the Merchant, the Spotter shall deliver the order to the User’s designated address as stated on the Platform. Users are responsible for ensuring that the provided delivery address and contact details are accurate and accessible. Failure to provide accurate details may result in cancellation or additional charges.

8.5 Delivery Timeframe: Estimated delivery times are provided for convenience and are subject to change due to factors such as order volume, traffic, weather, or Merchant preparation time. SpotEat shall make reasonable efforts, to ensure timely delivery but does not guarantee delivery times.

8.6 Order Cancellation:

8.6.1 A User may cancel an order before it is confirmed by the Merchant without incurring any charge.

8.6.2 If cancellation occurs after Merchant confirmation but before dispatch, a cancellation fee may apply.

8.6.3 Orders cannot be cancelled once a Spotter has picked up the order from the Merchant.

8.6.4 SpotEat reserves the right to cancel any order due to unavailability, technical issues, or suspected fraudulent activity, with notification to the User and refund (where applicable).

8.7 Non-Delivery or Failed Delivery: In the event a Spotter is unable to deliver due to the User’s unavailability or incorrect address, the order shall be deemed completed and non-refundable. SpotEat may, at its discretion, attempt redelivery subject to additional charges.

8.8 User’s Responsibilities at Delivery:

8.8.1 It is the user’s duty to inspect their orders upon receipt and report any issues (missing items, wrong order, or quality concerns) immediately through the Platform or within 30 minutes of delivery. Failure to report within the stipulated time shall constitute acceptance of the order.

8.8.2 For complaints, use the in-app support; SpotEat aims to acknowledge complaints within 24–48 hours and resolve within 5–10 business days depending on complexity.

8.9 Liability: SpotEat shall not be liable for any food-related illnesses, contamination, or quality defects arising from the Merchant’s preparation. However, complaints shall be reviewed and necessary actions taken to maintain service quality. SpotEat acts solely as a technology intermediary and does not verify Merchants Premises.

PAYMENTS AND REFUNDS

9.1 Payment Options: SpotEat accepts payments through multiple secure channels, including debit/credit cards, bank transfers, digital wallets, and any other method available on the Platform. Payment is required at the time of order placement unless otherwise stated.

9.2 Payment Authorization: By providing payment information, the User represents and warrants that they are authorized to use the selected payment method and that sufficient funds are available. SpotEat shall not be liable for any failed transactions due to insufficient balance or network issues.

9.3 Pricing and Taxes: Prices displayed on the Platform are set by Merchants and are inclusive of all applicable taxes. SpotEat reserves the right to adjust prices or introduce delivery/service fees at its discretion, with prior notice to Users and Merchants.

9.4 Refund Policy: The Platform may issue refunds under the following conditions:

9.4.1 If the order is cancelled before merchant confirmation,

9.4.2 The merchant’s inability to fulfill the order,

9.4.3 SpotEat’s verified delivery error (wrong or missing order). All refunds shall be processed within 5–14 business days through the original payment channel.

9.5 Disputed Transactions: In the event of a payment dispute, SpotEat shall investigate the matter in good faith and communicate findings to both parties. Users are advised to retain proof of payment until confirmation of transaction completion is received.

MERCHANT OBLIGATIONS

10.1 Compliance and Licencing: All Merchants must be duly registered businesses possessing necessary permits, health and safety certifications, and operational licenses as required under applicable Nigerian law.

10.2 Menu Accuracy: Merchants shall ensure that menu items, prices, descriptions, and availability displayed on the Platform are accurate and regularly updated. Misleading or false representations may result in temporary suspension or permanent delisting.

10.3 ood Quality and Hygiene: Merchants must maintain high standards of food safety, hygiene, and packaging. SpotEat reserves the right to conduct random inspections or request evidence of compliance with health regulations.

10.4 Timely Preparation: Merchants must prepare and hand over orders to Spotters within the agreed timeframe to prevent delivery delays. Repeated lateness may attract service penalties or account suspension.

10.5 Use of the Platform: Merchants shall use the SpotEat Merchant Dashboard solely for legitimate business transactions and shall not engage in any fraudulent, misleading, or manipulative activity.

10.6 Customer Disputes: Merchants agree to cooperate fully in resolving User complaints related to food quality, incorrect orders, or missing items. SpotEat reserves the right to mediate and determine the appropriate resolution.

10.7 Termination of Partnership: SpotEat may suspend or terminate a Merchant’s account for breach of these Terms, repeated poor performance, or any act that jeopardizes the reputation of the Platform.

ACCOUNT SUSPENSION AND TERMINATION

11.1 Right to Suspend or Terminate: SpotEat reserves the right, at its sole discretion, to suspend, restrict, or terminate a User, Merchant, or Spotter account at any time, with or without prior notice, if:

11.1.1 The User or Merchant is found to be in breach of these Terms,

11.1.2 Fraudulent, abusive, or suspicious activity is detected,

11.1.3 Required by law enforcement, regulatory directive, or court order,

11.1.4 There is misuse of the Platform, including attempts to manipulate pricing, fake orders, or exploit promotional offers, or

11.1.5 SpotEat determines that continued access poses a security or reputational risk to the Platform or its stakeholders.

11.2 Effect of Termination:

11.2.1 Upon termination, all rights granted to the User, Merchant, or Spotter under these Terms shall immediately cease.

11.2.2 Any pending obligations, including outstanding payments, commissions, or refunds, shall remain enforceable after termination.

11.2.3 SpotEat may retain necessary transaction data as required by applicable law or for legitimate business purposes.

11.3 Voluntary Account Closure: Users may request account closure at any time by contacting SpotEat support through the Platform or via official communication channels. Closure requests shall not affect any ongoing orders or obligations already in progress.

11.4 Reinstatement: Where an account has been suspended for non-fraudulent reasons, Users may appeal for reinstatement by providing satisfactory evidence that the issue has been resolved. SpotEat reserves absolute discretion in determining reinstatement requests.

11.5 Survival of Terms: Clauses relating to intellectual property, limitation of liability, dispute resolution, and data protection shall survive account termination or suspension.

USER RESPONSIBILITIES AND CONDUCT

12.1 Account Integrity: Users agree to provide accurate, current, and complete information when registering or making transactions on the Platform. Users must keep their login credentials secure and confidential. SpotEat shall not be liable for unauthorized access resulting from User negligence.

12.2 Respectful Interaction: Users must treat Merchants, Spotters, and SpotEat representatives with respect. Abusive, discriminatory, or threatening behavior may lead to account suspension.

12.3 Accurate Delivery Information: Users must ensure that all order details, contact information, and delivery addresses provided are correct. SpotEat shall not be liable for failed deliveries arising from incorrect details.

12.4 Use of Platform: The Platform must only be used for lawful transactions. Users shall not:

12.4.1 Interfere with the functionality of the Platform,

12.4.2 Attempt to hack, reverse-engineer, or exploit the system,

12.4.3 Create multiple fake accounts or misuse referral programs,

12.4.4 Post defamatory or inappropriate content in reviews.

12.5 Order Acceptance and Inspection: Users must inspect orders upon receipt. Any issue regarding missing items or quality must be reported immediately through the Platform.

12.6 Payment Compliance: All Users must ensure timely and full payment for all orders placed. Repeated failed payments or charge backs may result in account termination.

12.7 Liability: SpotEat shall not be liable for any personal injury, allergic reaction, or dissatisfaction arising from the consumption of food ordered via the Platform. Users are encouraged to review menu ingredients before placing orders.

INTELLECTUAL PROPERTY RIGHTS

13.1 Ownership: All rights, title, and interest in and to the SpotEat Platform—including but not limited to its software, logos, designs, trademarks, trade names, icons, service marks, domain names, data, user interface, and other proprietary materials—are owned, controlled, or lawfully licensed to Spotless Technologies Ltd.

13.2 Limited License: SpotEat grants Users a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the purpose of placing and receiving orders, and not for any commercial exploitation or resale.

13.3 Restrictions: Users and Merchants shall not:

13.3.1 Copy, modify, distribute, reproduce, or create derivative works from the Platform,

13.3.2 Decompile, reverse-engineer, or otherwise attempt to extract source code or algorithms,

13.3.3 Remove, alter, or obscure any copyright, trademark, or proprietary notices, or

13.3.4 Use any automated system or software (e.g., bots, crawlers, scrapers) to extract data without SpotEat’s written consent.

13.4 User-Generated Content:

13.4.1 Users may provide reviews, comments, or feedback regarding their experience on the Platform. By doing so, they grant SpotEat a perpetual, royalty-free, worldwide, irrevocable, and transferable license to use, reproduce, modify, display, and distribute such content for marketing, promotional, or analytical purposes.

13.4.2 Users warrant that their content is original, does not infringe any third-party rights, and is not defamatory, obscene, or unlawful.

13.4.3 SpotEat reserves the right to remove any content deemed inappropriate or in violation of these Terms.

13.5 Trademarks and Branding: The “SpotEat” name, logo, slogan, and related marks are the exclusive property of Spotless Technologies Ltd. Any unauthorized use of these marks, or any mark confusingly similar to them, is strictly prohibited and may attract legal action.

DISCLAIMERS

14.1 Platform Availability: SpotEat operates on an “as is” and “as available” basis. While every effort is made to maintain uninterrupted service, SpotEat does not warrant that the Platform will always be secure, error-free, or free from downtime.

14.2 Food and Product Responsibility: SpotEat is an intermediary platform connecting Users to Merchants and Spotters. It does not produce, prepare, package, or deliver food. Accordingly:

14.2.1 SpotEat makes no representation regarding the safety, quality, taste, or freshness of food or products sold by Merchants,

14.2.2 Merchants bear full responsibility for the food or items listed, including labeling, packaging, and compliance with food safety regulations,

14.2.3 SpotEat disclaims liability for allergic reactions, food poisoning, or other health conditions resulting from the consumption of items ordered through the Platform.

14.3 Third-Party Services: The Platform integrates third-party services (e.g., payment processors, mapping providers). SpotEat does not control and is not responsible for third-party content, practices or failures, users are advised to review third-party terms before use.

14.4 Internet and Mobile Data: Users are solely responsible for data charges and network reliability when accessing the Platform. SpotEat does not guarantee compatibility with every device or operating system.

14.5 Representation and Warranties: SpotEat disclaims all implied warranties, including merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

LIMITATION OF LIABILITY

15.1 Exclusion of Damages: To the maximum extent permitted by law, Spotless Technologies Ltd, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:

15.1.1 Use or inability to use the Platform,

15.1.2 Delay or failure in delivery by a Merchant or Spotter,

15.1.3 Unauthorized access, data breach, or alteration of transmissions,

15.1.4 Statements or conduct of any third party on the Platform

15.1.5 Any other matter relating to use of SpotEat.

15.2 Aggregate Liability: The total liability of Spotless Technologies Ltd for any claim arising out of or in connection with these Terms shall not exceed the total transaction amount paid by the User for the specific order giving rise to the claim.

15.3 Force Majeure: SpotEat will not be held responsible for delay or failure to perform its obligations caused by events beyond its reasonable control, including natural disasters, governmental actions, war, strikes, internet outages, or other unforeseen circumstances.

15.4 Indemnity: You agree to indemnify, defend and hold Spotless Technologies Ltd, its affiliates, officers, directors, employees and agents harmless from any and all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with;

15.4.1 Your breach of these Terms,

15.4.2 Your misuse of the Platform,

15.4.3 Any fraudulent or unlawful activity conducted through your Account, or

15.4.4 Your violation of applicable law.

GOVERNING LAW AND DISPUTE RESOLUTION

16.1 Governing Law: These Terms and any disputes arising as a result of using the Platform shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

16.2 Dispute Resolution:

16.2.1 In the event of a dispute, parties shall first attempt to resolve the matter amicably through good-faith negotiation within 14 days of notification.

16.2.2 SpotEat shall attempt to resolve all complaints amicably within 14 business days. 

16.2.3 If unresolved, the dispute shall be referred to arbitration in accordance with the provisions of the Arbitration and Mediation Act, 2023 of Nigeria.

16.2.4 The arbitral award shall be final and binding on the parties.

16.3 Jurisdiction: Notwithstanding the foregoing, SpotEat reserves the right to seek injunctive relief or enforcement of intellectual property rights in any competent court.

AMENDMENTS AND UPDATES

17.1 Right to Amend: SpotEat reserves the sole right to amend, modify, or update these Terms of Use and Privacy Policy at any time, at its absolute discretion, without prior notice.

17.2 Notification of Changes:

17.2.1 Updates may be communicated via in-app notifications, emails, or postings on the Platform.

17.2.2 Continued use of the Platform after such modifications constitutes the User’s acceptance of the revised Terms.

17.3 Version Control: SpotEat shall include the date of last revision at the top of these Terms for easy reference. Users are encouraged to review this document periodically.

PRIVACY POLICY

18.1 Purpose: This Privacy Policy explains how SpotEat, operated by Spotless Technologies Ltd, collects, uses, discloses, and safeguards Users’ personal data when they use the Platform.

18.2 Information Collected: SpotEat may collect:

18.2.1 Personal Information: such as name, phone number, email, delivery address, and payment details,

18.2.2 Device and Technical Data: including IP address, browser type, operating system, and app version,

18.2.3 Transactional Data: such as order history, payment records, and refund requests,

18.2.4 Location Data: for accurate delivery coordination, and

18.2.5 Usage Data: including clicks, preferences, and feedback provided.

18.3 Use of Information: Collected data is used to:

18.3.1 Facilitate order processing and deliveries,

18.3.2 Process payments securely and verify transactions,

18.3.3 Improve customer service and platform functionality,

18.3.4 Send updates, notifications, and promotional messages, and

18.3.5 Comply with applicable legal and regulatory obligations.

18.3.6 By creating an account, you consent to receive transactional messages and promotional communications from SpotEat by email, SMS or in-app notifications. You may opt-out of marketing communications at any time via your account settings or by contacting us, opting out does not remove service messages.

18.4 Data Sharing: SpotEat may share data with:

18.4.1 Merchants and Spotters (only the minimal data required for order fulfillment),

18.4.2 Payment processors and financial institutions,

18.4.3 Regulatory or law enforcement authorities, if required by law, and

18.4.4 Service providers who support app operations (e.g., hosting, analytics, or SMS providers).

18.5 Data Protection and Security: SpotEat employs industry-standard encryption and security protocols to safeguard all personal data. Users are responsible for maintaining the confidentiality of their account credentials.

18.6 Data Retention: SpotEat retains User data only for as long as necessary to fulfill service obligations, comply with legal requirements, or resolve disputes.

18.7 Cookies and Tracking: The Platform may use cookies or similar technologies to enhance User experience and analyze usage trends. Users may disable cookies through their device settings, but certain features may not function properly as a result.

18.8 User Rights: Users have the right to:

18.8.1 Request access to their personal data,

18.8.2 Request correction of inaccurate information,

18.8.3 Withdraw consent for certain processing activities, and

18.8.4 Request deletion of their data, subject to legal and contractual obligations.

18.9 Children’s Data: SpotEat does not knowingly collect data from persons under 18 years of age. Parents or guardians who believe a minor has provided personal data should contact SpotEat for immediate deletion.

18.1 Third-Party Links: The Platform may contain links to third-party websites or services. SpotEat shall not be liable for the privacy practices or content of such external parties.

18.12 SpotEat may process or store personal data on servers located inside or outside Nigeria. Where data is transferred across borders, SpotEat will take steps to ensure such transfers comply with applicable data protection laws.

CONTACT DETAILS AND ACCEPTANCE 

19.1 Entire Agreement: These Terms constitute the complete agreement between the User and Spotless Technologies Ltd regarding use of the SpotEat Platform and supersede all prior understandings, oral or written. If any provision of these terms is held invalid or unenforceable, the remaining provisions will remain in full force.

19.2 Acceptance: By accessing or using SpotEat, Users acknowledge that they have read, understood, and agreed to be bound by these Terms of Use and Privacy Policy.
